Agreement:

Please be advised that the information you are about to download is proprietary, patented and/or copyrighted. The information is intended for potential licensees only and is intended to be used only by persons or parties that have obtained a License from Laredo Smart Management Company Ltd. (SMC). SMC, who is the owner of the information, is only willing to provide you with access to the information if you accept the terms of this Agreement.  By choosing the "Accept" option and continuing with the process of obtaining the information, you are agreeing to the terms of this Agreement.  By accessing the information, you agree to keep the information confidential and to not provide the information to any other person or party. The use of any part of any of the herein described information without the written consent of Laredo Smart Management, Co. Ltd, will constitute an unauthorized use of such information. SMC hereby reserves the right to seek legal action against any persons, entities or individuals who participate in or benefit in any form from the unauthorized acquisition of the herein described information. In addition, you agree not to use the information or benefit from the information in any way, unless you execute a License Agreement with SMC and comply with all of the terms of such License Agreement. You also acknowledge that the unauthorized use or dissemination of any of the information which you will be provided access to will cause immediate and irreparable harm to SMC and that SMC has no adequate remedy at law other than the imposition of liquidated damages in the amount of $500,000 per occurrence of dissemination and per item of information disseminated. By accessing the information, you acknowledge that the amount of monetary damages would be difficult to calculate with precision and that the amount of $500,000 per each event of dissemination and per each item of information disseminated is a fair and accurate estimate of the damages that will be suffered by SMC is the information to which you will be given access is disseminated to any third party without the express written consent of SMC or that will be suffered by SMC by your unauthorized use of the information. The damages provisions of this Agreement will be construed to provide the maximum amount of recovery reasonably and legally possible. This Agreement will not be construed strictly against SMC. By accessing the information you agree to submit yourself to the jurisdiction of the State Courts of the State of Texas. In addition, you agree that venue and jurisdiction will be in the Federal Courts in Webb County Texas, if there is mandatory federal question jurisdiction, or the State Courts of Webb County, Texas if there is not mandatory federal question jurisdiction, with respect to any issues or causes of action that cannot be arbitrated.   By accessing the information, you are agreeing to binding arbitration with respect to any issue or dispute or cause of action that may arise with respect to such information, the accessing of such information or the unauthorized use or dissemination of such information. SMC will have two years after it is provided with actual knowledge of a dispute to submit any dispute to arbitration. The arbitration will be conducted in accordance with the Federal Arbitration Act, if mandatory federal question jurisdiction exists, or with the Texas Arbitration Act if there is no mandatory federal question jurisdiction. The Texas Rules of Civil Evidence and the Texas Rules of Civil Procedure will apply. The parties may conduct discovery under the direction of the arbitrator. SMC will have the right to seek temporary restraining orders and temporary injunctions without waiving arbitration. This arbitration provision will be construed as broadly as legally possible. Texas law will apply to the downloading, use or dissemination of the information described herein. In addition, Texas law will apply to any unauthorized use or dissemination of the information described herein as well as to any dispute between the parties. By agreeing to the above you also agree that if you are not interested in getting a license from SMC to use any HI-TECH TILT™ technologies or products that you will promptly delete all information and not make copies or disseminate this information to any other third parties.
